Following the above-mentioned sales, Riaan Gous's total shareholding in Equites (both direct and indirect)
will be 3 169 462 shares, comprising c. 0.41% of the Company's issued share capital.

Shareholders are further advised that on 13 February 2024 GRG Investments Proprietary Limited ("GRG
Investments") agreed terms to amend the existing R18 000 000 three-year loan (the "Loan") concluded with
Investec Bank Limited (as detailed in the announcement released on 8 December 2021) by the reduction of
the Loan to R13 409 256.18 (the "Amendment"). In terms of the Amendment, the security agreement related
to the Loan has been revised by a reduction in the number of Equites shares that are pledged as security to
2 782 993 shares.

As Riaan Gous is a director and sole shareholder of GRG Investments, the Amendment constitutes a dealing
in securities by an associate of a director. The transaction was conducted off-market and clearance was
obtained.
