APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND CHAIRPERSON OF THE AUDIT AND
RISK COMMITTEE

Shareholders are advised that Mr Thomas Attree has been appointed as an Independent Non-executive Director and
the Chairperson of the Group's Audit and Risk Committee, with effect from 21 April 2026.

Mr Attree is a British national, who holds an MA (Hons) degree from the University of Oxford and is a chartered
accountant, registered with the Financial Conduct Authority of the United Kingdom. He obtained further qualifications
from the University of Cambridge and the Corporate Sustainability Reporting Directive of the United Kingdom in the
fields of business sustainability management and reporting. Mr Attree has more than 20 years' experience as a strategic
finance, technology, and sustainability leader for companies, dual listed on the London Stock Exchange and JSE, and
has thorough knowledge of the regulatory and governance frameworks required. As a Chartered Accountant (FCA)
Thomas gained extensive expertise in audit, risk management, and digital transformation. He has acted as Group
Reporting Accountant to Liberty International PLC and as Director of Sustainability and Technology at Shaftesbury
Capital PLC.

The board of directors of Crookes Brothers ("Board") welcomes Thomas and is confident that his extensive experience
and modern skillset, combining financial governance with sustainability and technology strategy in a listed environment,
will be invaluable to the Group.

The Board confirms that, in compliance with paragraph 6.73 of the JSE Listings Requirements, a fit and proper
assessment has been conducted and that the Board is satisfied with the positive outcome of the assessment.
Additionally, the Company confirms that there are no positive statements to report in respect of the integrity information
contained in the director's declaration.
