FULFILMENT OF GENERAL TRANSACTION CONDITIONS AND SPECIAL DIVIDEND FINALISATION ANNOUNCEMENT

1.   Introduction

     Shareholders are referred to the various announcements released on SENS and the circular to
     shareholders dated 18 July 2018, containing full details of the BEE transaction between
     Vodacom Group Limited (“Vodacom”) and YeboYethu (the “BEE transaction”), copies of which
     can be found on the YeboYethu website at http://www.yeboyethu.co.za (the “BEE circular”).
     Terms defined in the BEE circular will, unless otherwise indicated, have the same meaning in
     this announcement.

2.   Fulfilment of General Transaction Conditions

     The general transaction conditions upon which the commencement of the implementation of the
     BEE transaction was conditional have now been fulfilled/waived and, as such, the BEE
     transaction will begin to be implemented in accordance with the timetable set out in paragraph
     3 below.

3.   BEE transaction and special dividend timetable

     Shareholders are advised that the relevant dates pertaining to the BEE transaction and special
     dividend have been amended and the new dates are set out in the table below:
