DEALINGS IN SECURITIES BY PRESCRIBED OFFICERS
In compliance with paragraphs 6.77 to 6.90 of the Listings Requirements of the JSE Limited (“JSE”), shareholders are advised of
the following dealings by prescribed officers in terms of the company’s share scheme, relating to the vesting of forfeitable share
awards (“FSP”) as part of Telkom’s Long-Term Incentive (LTIP) Share Plan (the “Plan”).
In terms of the Plan, the vesting of the Share Awards (“LTIPs”) is subject to performance conditions and occur in various tranches
after three years. Whilst vesting is not classified as ‘dealings’ in terms of the JSE Listings Requirements, the vesting of the LTIPs
does result in a tax liability for the participants (the prescribed officers) in terms of section 8C of the Income Tax Act (No 58 of
1962), whether they elect to keep all their shares, sell all their shares or elect to sell a portion of their shares to cover the tax
liability.
The following tranches have recently vested or been forfeited:
• 2021 LTIP Share Award: 50% of the third (3rd) tranche (20%) of shares vested, based on partial achievement of the
performance conditions.
• 2022 LTIP Share Award: 100% of the second (2nd) tranche (30%) of shares were forfeited, based on the non-
achievement of the performance conditions.
The shares which vested in terms of the 2021 LTIP Share Awards vested on 1 July 2026, subsequent to which, participants could
elect to keep all their shares, or sell a portion, or all, of their shares by no later than 19 August 2026. The company facilitated the
sale of the ordinary shares on behalf of the participants in bulk trades from 11 to 13 August 2026.
