APPOINTMENT OF LIFE HEALTHCARE CHIEF EXECUTIVE OFFICER TO THE NEDBANK
GROUP BOARD

Shareholders and noteholders are referred to the announcement released on 10 February 2026 by
Nedbank Group Limited ("Nedbank Group") regarding the appointment of Mr Pete Wharton-Hood to its
board as an independent nonexecutive director, with effect from 3 March 2026.

In evaluating the appointment, the board of directors of Life Healthcare ("the Board") conducted a
thorough assessment of Mr Pete Wharton-Hood's capacity to continue to discharge his executive
responsibilities effectively in his role as the Chief Executive Officer as well as any related potential
conflicts of interest.

The Board is satisfied that this appointment will not impair Mr Pete Wharton-Hood's ability to remain
fully committed to the execution of his duties as Chief Executive Officer.
