CONSOLIDATED ANNUAL FINANCIAL RESULTS AND DIVIDEND DECLARATION FOR THE YEAR ENDED
30 SEPTEMBER 2023; DISTRIBUTION OF INTEGRATED REPORT AND DETAILS OF THE ANNUAL GENERAL MEETING
1. Highlights
• Assets under management and administration of R318.1 billion as at 30 September 2023 (2022: R285.1 billion), up 11.6%.
• Revenue of R843.9 million (2022: R808.9 million), up 4.3%.
• Profit after tax of R300.4 million (2022: R287.4 million), up 4.5%.
• Basic earnings and headline earnings per share of 198.9 cents (2022: 191.3 cents), up 4.0%, and diluted earnings and
diluted headline earnings per share of 194.5 cents (2022: 186.1 cents), up 4.5%.
• Total dividend per share of 210.0 cents (2022: 210.0 cents).
2. Final dividend
Sygnia is committed to rewarding its shareholders with regular distributions of free cash flow generated. Accounting for
projected cash requirements, a gross final dividend for the financial year ended 30 September 2023 of 123 cents per share
has been declared out of income reserves, resulting in a net dividend of 98.4 cents per share for shareholders after Dividends
Tax ("DT"). Together with the interim gross dividend of 87.0 cents per share, this amounts to a total gross dividend of 210.0
cents per share.

Share certificates may not be dematerialised or rematerialised between Wednesday, 20 December 2023 and Friday, 22
December 2023, both dates inclusive. Dividends declared after 31 March 2012 are subject to DT, where applicable. In terms
of the DT, the following additional information is disclosed:
• The local DT rate is 20%;
• The number of ordinary shares in issue at the date of this declaration is 150 947 489;
• Sygnia's tax reference number is 9334/221/16/6.

3. Short form announcement
The short form announcement is the responsibility of the directors and is only a summary of the information contained in the
consolidated annual financial statements. This announcement does not include the information required pursuant to paragraph
16A(j) of IAS 34. Any investment decisions by investors and/or shareholders should be based on consideration of the
consolidated annual financial statements on the Company's website (www.sygnia.co.za). Copies of the consolidated annual
financial statements are available on request by emailing investorrelations@sygnia.co.za and the Company's sponsor. In
addition, the consolidated annual financial statements are available for inspection, at no cost, at the registered office of the
Company from Monday to Friday between 08:00 and 17:00. The summarised consolidated annual financial statements can be

4. Audit opinion
The auditors, Mazars, have issued an unmodified audit opinion on the consolidated annual financial statements for the year
ended 30 September 2023, which includes communication of key audit matters. As set out above, copies of the consolidated
annual financial statements (including the key audit matters and the unmodified audit opinion) are available on request by
emailing investorrelations@sygnia.co.za and the Company's sponsor at jsesponsor@standardbank.co.za.
5. 2023 Integrated Report
Sygnia shareholders are advised that the 2023 Integrated Report of the company, together with the full consolidated annual
financial statements for the year ended 30 September 2023, will be distributed to shareholders on 4 December 2023. The
Integrated Report will be available on the Company's website, www.sygnia.co.za. Shareholders can contact the Company
secretary, Glen MacLachlan, at gmaclachlan@sygnia.co.za to request an electronic version of the 2023 Integrated Report, which
incorporates the notice of the annual general meeting and form of proxy. The consolidated annual financial statements for the
year ended 30 September 2023 have been prepared under the supervision of the Financial Director, N. Giles CA (SA).
6. Annual general meeting
The annual general meeting of shareholders of Sygnia will be held on Thursday, 8 February 2024 at 10:00am to transact the
business as stated in the notice of the annual general meeting which is included in the 2023 Integrated Report. In terms of
section 59 of the Companies Act, No 71 of 2008, the record date for the purposes of determining which shareholders are entitled
to participate in and vote at the annual general meeting is Friday, 02 February 2024
