ANNUAL RESULTS FOR THE YEAR ENDED 30 SEPTEMBER 2022




1.   SALIENT FEATURES
     •   Revenue from continuing operations, comprising Pepkor Holdings only, increased by 5.3% to
         R81.4 billion for the year ending 30 September 2022 (“FY 2022”, “Reporting Period”) from
         R77.3 billion in the previous year.
     •   Operating profit from continuing operations improved by 68.1% from a profit of R11.9 billion
         recorded for FY 2021 to a profit of R20.0 billion in FY 2022. The increase is mainly driven by
         the non-cash items listed below:
         o The derecognition of the SIHPL CPU and the recognition and subsequent
             remeasurement of the S155 Settlement Note with limited recourse resulted in a net gain
             of R17.0 billion.
         o An impairment of R3.5 billion (2021: reversal of R11.3 billion) was recorded in respect of
             financial assets.
         o The total loss on recognition of financial assets and liabilities amounted to R3.3 billion
             (2021: R2.2 billion).
     •   The majority of the Group’s litigation settlement provision was settled during the year. The
         Steinhoff Investment’s share of the settlement consisted of R9.0 billion in cash, R6.9 billion
         in Pepkor Holdings shares and R0.3 billion in call options. The balance of the settlement was
         paid by the holding company, Steinhoff International Holdings N.V.
     •   Headline earnings per share improved from 11 843.6 cents in FY 2021 to 26 797.0 cents in FY
         2022.
     •   Basic earnings per share improved from 11 685.5 cents in FY 2021 to 25 863.6 cents in FY 2022.
     •   Two preference share dividends were declared, as set out in the terms of the preference
         shares:
             o on 24 March 2022, the Board declared a gross dividend of 293.55308 cents per
                 preference share, which was paid on 25 April 2022; and
             o on 29 September 2022, the Board declared a gross dividend of 315.59075 cents per
                 preference share, which was paid on 24 October 2022.


2.   OVERVIEW
Steinhoff Investments is a wholly-owned subsidiary of Steinhoff International Holdings N.V. and is the
issuer of variable rate, cumulative, non-redeemable, non-participating preference shares with a
capital value of R1.5 billion. The preference shares are listed on the JSE.
The Company’s Consolidated Financial Statements cover the year ended 30 September 2022 and also
address the material events subsequent to the reporting date up to the publication date of this report.


3. DIVIDEND DECLARATION – Ordinary shares
On 15 February 2022 the Company declared a gross ordinary dividend of R8.7 billion, payable to
Steinhoff International Holdings N.V., as part of the implementation of the Global Litigation
Settlement.


4. EXTERNAL AUDIT
The 2022 Consolidated Financial Statements have been audited by the Company’s auditors, Mazars,
who expressed an unqualified audit opinion thereon.
