Issue of equity and voting rights

Further to the announcements released on 16 February 2022 and 24 May 2022, Tharisa announces that
application has been made to the JSE Limited (‘JSE’), the Financial Conduct Authority (‘FCA’) and the
London Stock Exchange (‘LSE’) for the listing and admission of 3 208 556 new ordinary shares to the
official list and to trading on the main market of the JSE and the LSE. Admission of the shares is expected
to occur on 6 June 2022.

Following admission, Tharisa will have 302 596 743 ordinary shares in issue, of which 299 261 811 shares
will have voting rights. Tharisa currently holds 3 334 932 shares in treasury to make provision for the
potential requirement to allot shares to participants in the Tharisa Share Award Plan exercising vested
Appreciation Rights.

Therefore, the total of 299 261 811 ordinary shares may be used by shareholders as the denominator
for the calculations by which they will determine whether they are required to notify their interest in, or
a change to their interest in, Tharisa under the FCA's Disclosure and Transparency Rules.
