CHANGES TO FUNCTIONS OF DIRECTORS
Shareholders and noteholders are referred to the JSE Limited (“JSE”) Stock Exchange News
Service announcement published on 1 June 2021 (the “Previous Announcement”), informing
the market of the changes to the Pepkor Board Committees.
In accordance with paragraphs 3.59(c) and 6.39(c) of the JSE Listings and Debt Listings
Requirements respectively, and following the completion of the induction and handover
process, as advised in the Previous Announcement, the board of directors of the Company
(the “Board”) is pleased to advise that Ms Hester Hickey has been appointed as the Chairman
of the Audit and Risk Committee (the “Committee”) with effect from 1 January 2022. Ms
Hickey has served on the Pepkor Board and as a member of the Committee since 1 June
2021 and has significant experience in chairing audit committees of JSE-listed companies.
Ms Fagmeedah Petersen-Cook, who has served as the interim Chairman of the Committee
from 17 February 2021, will continue to serve as a member of the Committee from
1 January 2022. The Board wishes to thank Ms Petersen-Cook for filling the role of interim
Chairman of the Committee.
