Further to the announcement released by Prosus N.V. ("Prosus") today, 9 July 2021,
shareholders are advised that the resolution relating to the Prosus voluntary share exchange
offer to Naspers N shareholders as set out in the notice of the Prosus extraordinary general
meeting was passed and adopted by the requisite majority of Prosus shareholders represented
at the Prosus extraordinary general meeting.

The board of directors and management of Naspers thanks shareholders for their engagement
on the Transaction. The board of directors and management will continue to focus on
additional actions that can improve shareholder returns.

Shareholders are also advised that publication of the Prosus prospectus relating to the
voluntary share exchange offer as well as opening of the voluntary share exchange offer are
expected to occur on Monday 12 July 2021.
