UPDATE ON DISPOSAL OF ORO AGRI


Shareholders are referred to:
-    Omnia's SENS announcement released on 18 October 2020 advising shareholders that Omnia concluded an
     agreement (the “agreement”) to dispose of the Oro Agri group to European Crops Products 2 S.A. R.L.; and
-    the general meeting of Omnia shareholders held on 14 December 2020 at which that disposal was approved.

Shareholders are advised that the agreement is now unconditional.
