NO CHANGE STATEMENT, POSTING OF NOTICE OF ANNUAL GENERAL MEETING AND UPDATE
ON BROAD-BASED BLACK ECONOMIC EMPOWERMENT COMPLIANCE REPORT


No change statement and notice of annual general meeting

Shareholders are advised that Dipula’s integrated annual report, incorporating the audited annual financial statements
for the year ended 31 August 2020 (on which the Company’s auditors expressed an unmodified audit opinion), is now
available on the Company’s website at http://www.dipula.co.za/wp-content/uploads/2020/12/Dipula-IAR-2020_WEB-
FA.pdf.

The audited financial statements contain no changes from the reviewed provisional condensed consolidated financial
results for the year ended 31 August 2020 as published on 18 November 2020.

Shareholders are further advised that a notice of annual general meeting, including the relevant supporting
documentation, was dispatched to shareholders today, 18 December 2020. The annual general meeting of shareholders
of Dipula will be held at 09:00 on Monday, 15 February 2021. Due to the restrictions on gatherings imposed as a result
of the Covid-19 pandemic, the annual general meeting will only be accessible through electronic participation, as
permitted by the provisions of the JSE Listings Requirements, the Companies Act No. 71 of 2008, as amended, and
the Company’s memorandum of incorporation.

The last day to trade in order to be eligible to participate in and vote at the annual general meeting is Tuesday,
2 February 2021 and the record date for voting purposes is Friday, 5 February 2021.

Broad-Based Black Economic Empowerment annual compliance report

Shareholders are advised that the Company’s Broad-Based Black Economic Empowerment annual compliance report
for the year ended 31 August 2020 is currently being verified and a further announcement in respect of the publication
thereof will be released in due course.
