DEALINGS IN SECURITIES BY ASSOCIATES OF A DIRECTOR
Pursuant to the rights offer announced by Brait on 21 January 2020 (the “Rights Offer”), Titan Financial Services
Proprietary Limited and its affiliates (“Titan”) have received nil-paid rights (the “Rights”) to subscribe for Brait ordinary
shares (“Ordinary Shares”) to the aggregate value of approximately ZAR2,101 million. Titan has provided an
irrevocable undertaking that it shall follow Rights to subscribe for Ordinary Shares to the aggregate value of ZAR750
million and has provided an underwriting commitment of ZAR250 million to the Company. Titan has also committed
to renounce Rights to Ethos Capital Partners Limited and Ethos Fund VII GP (SA) Proprietary Limited (collectively,
“Ethos”) and Ethos has irrevocably committed to follow such Rights to subscribe for Ordinary Shares to the aggregate
value of ZAR1,000 million. Titan has informed Brait that it has sold 15,977,120 Rights and 5,187,672 Ordinary Shares to the aggregate
value of approximately ZAR66 million and that it will apply the proceeds to subscribe for additional Ordinary Shares, over and above
the ZAR1,000 million commitment already provided, as described above.
