CHANGES TO THE BOARD OF DIRECTORS


In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors of
Omnia (“the Board”) hereby notifies its shareholders that, with effect from 21 August 2019, Seelan
Gobalsamy, the current Group Finance Director, has been appointed as Chief Executive Officer of Omnia,
replacing Adriaan de Lange, who has resigned. Adriaan has made himself available to the Omnia Group on
an advisory basis.

Seelan is a seasoned international business leader, who has assumed senior executive roles across Emerging
Markets for close to 20 years at institutions such as Liberty Holdings, STANLIB Limited and Old Mutual.

To further strengthen the Board composition, and to support the executive management team responsible for
implementing the new strategy, the Board plans to announce the appointments of additional non-executive
directors in due course. Additionally, a new Group Finance Director will be appointed in due course. The
Board’s nominations committee is actively engaging with candidates.

Ralph Havenstein, Chairman of Omnia, said: “We look forward to continue working with Seelan in his new
role as Chief Executive Officer. Since joining Omnia as a non-executive director, and subsequently as an
executive director, he has been instrumental in stabilising the Omnia Group’s financial position and in
bringing a fresh perspective to the business as a whole. During his career, Seelan has demonstrated his ability
to successfully manage complex businesses through significant periods of challenge and change. He has the
full backing of the Board to implement the turnaround plan, which includes stabilising Omnia’s financial
position, addressing the businesses’ performance and to lead Omnia on its next growth phase.”
