Intu: NED changes


intu announces that Louise Patten, independent non-executive director, has retired
from the Board with effect from today’s date. Ian Burke has taken over as Chairman
of intu’s Remuneration Committee.

Richard Gordon, non-independent non-executive director, informed the Board today
that he would not be seeking re-election at intu’s AGM on 3 May 2019. However, at
the request of the Board, Richard has agreed to stand down with effect from today’s
date in order to allow intu to preserve the balance of independent and non-
independent directors on the Board, as required by the UK Corporate Governance
Code.

Following the above changes, the Board will comprise a total of 7 directors. Excluding
the Chairman, 3 directors are independent and 3 directors (including the 2 executive
directors) are non-independent.

John Strachan, Chairman of intu, said “on behalf of the Board, I would like to thank
both Richard and Louise for their contribution to the Board’s deliberations over the
past several years. Richard’s association with intu goes back to 1996 and he has
been a valued, dedicated and supportive non-executive director. Louise has served
for almost 8 years as a non-executive director and Remuneration Committee
chairman. I wish both Richard and Louise our best wishes for the future”.
