CHANGES TO THE BOARD OF DIRECTORS OF AFRICAN BANK LIMITED ("ABL") AND AFRICAN BANK HOLDINGS LIMITED ("ABHL")

In accordance with paragraph 6.42 of the JSE Limited ("JSE") Debt and Specialist Securities Listings Requirements, 
noteholders are hereby advised that Mr Peter Temple, a non- executive director ("NED") of both ABL and ABHL, has 
retired with effect from 31 March 2026 due to having reached the prescribed nine-year tenure of serving as an independent
non-executive director. Consequently, he simultaneously resigns his memberships of all the Board Committees on which he 
served.

Mr Temple was appointed to the ABHL and ABL Boards on 29 April 2016 and has served on various Board Committees and on 
subsidiary Boards during this period. During his tenure, he chaired the Risk and Capital Management Committee, overseeing 
risk management, capital adequacy and compliance frameworks, and served on the Remuneration Committee, contributing to robust 
governance aligned with the King Code of Corporate Governance and the JSE Debt and Specialist Securities Listings Requirements.

The Boards express their gratitude and sincere appreciation to Mr Temple for his immense and invaluable contribution while 
serving on the Boards and Board Committees. Mr Temple has made meaningful and lasting contributions to the Group during his 
tenure. His steady leadership, sound judgment, and commitment to good governance supported the Boards in guiding the African
Bank Group through key phases of its development and long-term sustainability.

His expertise, wisdom and experience will be sorely missed, and the Boards wish him continued success in his future endeavours.
