ARM TO DEFEND ASSORE LEGAL PROCEEDINGS AND INITIATE COUNTERCLAIMS

Shareholders are advised that ARM and Assore South Africa Proprietary Limited (“Assore”) are
involved in a legal dispute which relates, inter alia, to ARM’s rights to appoint senior management of
Assmang Proprietary Limited (“Assmang”) and to manage the Assmang operations in accordance with
the shareholders’ agreement between the parties, as well as information and records that ARM as
Assmang’s manager requires from Assore for Assmang to comply with its legal and regulatory
obligations. ARM and Assmang, amongst others, have been cited as defendants in a summons
(“Summons”) served by Assore (the “Proceedings”).

Based on legal advice received, ARM believes that Assore's claims and allegations have no substantive
merit. ARM intends to defend the Proceedings and will be bringing its own proceedings against Assore
relating, inter alia, to its rights to manage Assmang in accordance with the shareholders’ agreement
and to obtain the information and records required to comply with Assmang’s legal and regulatory
obligations. Shareholders will be advised of any material developments in respect of the Proceedings.

Notwithstanding the matters in dispute, ARM will continue to manage Assmang in accordance with its
contractual rights and obligations. ARM remains committed to Assmang creating competitive value
and returns for its shareholders and other stakeholders.

In terms of the ongoing operations of Assmang, representatives of ARM and Assore continue to
engage with each other in connection with the business. There are ongoing discussions between ARM
and Assore representatives to determine the timing and quantum of an appropriate final dividend to
be declared and paid by Assmang to its shareholders in respect of the financial year ended 30 June
2026.

None of the claims contained in the Summons relate to the quantum or timing of the dividend and
ARM is committed to maximising the payment of dividends as required by the Memorandum of
Incorporation and shareholders’ agreement of Assmang. The cash and cash equivalents at Assmang
as at 30 June 2026 which were attributable to ARM were equal to ZAR3.9 billion.
