the appointment of Ms Carol-Jean
Harward, who retires by rotation in
terms of clause 20.9.1 of the
Constitution of the Company, and
being eligible, offers herself for re-
election as an independent non-
executive Director.

June 2024 as set out on page 101 of
the Integrated Annual Report.
Special resolution 9

with or without amendment the
following resolution as a special
resolution: To specially resolve in
terms of section 128 of the Companies
Act Cap 42:01 to pre-approve the
donations of the year ending 30 June
2025 subject to these being made in
terms of the Company policy, for
charitable purposes and in total not
exceeding 1.5 % of EBITDA for
FY2025.
