DISCLOSURE OF ACQUISITION OF SECURITIES

Shareholders and noteholders are advised that on 5 December 2025, Public Investment
Corporation SOC Limited ("PIC"), notified Pepkor that PIC increased its beneficial interest in
the issued ordinary share capital of the Company, such that the total beneficial interest held
by PIC increased from 15.5% to 20.2% of the Company's issued ordinary share capital.

The Company has filed the required notice with the Takeover Regulation Panel, per section
122(3)(a) of the Companies Act, 2008.

The board of directors accepts responsibility for the information contained in this
announcement, and to the best of their knowledge and belief, the information is true, and this
