CHANGE TO THE BOARD AND TO BOARD COMMITTEES

In accordance with paragraph 6.71 of the JSE Limited Listings Requirements, the Board of
Directors of Pick n Pay ("the Board") hereby announces the following changes to the
membership of Board committees, with effect from 1 February 2026.

Appointment of Ms Pooven Viranna to the Social, Ethics and Transformation
Committee

Ms Pooven Viranna has been appointed as a member of the Social, Ethics and
Transformation Committee ("SETC").

Ms Viranna brings deep expertise in financial governance, business transformation and
board-level oversight.

Appointment of Mr Grant Pattison to the Remuneration Committee and the Finance and
Investment Committee

In addition to his appointment a member of both the Group Audit, Risk and Compliance
Committee ("GARCC"), Mr Grant Pattison has been appointed as a member of the
Remueration Committee ("RemCom)" and the Finance and Investment Committee ("FIC").

Mr Pattison brings deep commercial insight, a strong track record in strategic execution and
a wealth of operational expertise. His appointment will further strengthen the Committee's
capability and oversight, particularly in the areas of governance, risk and large-scale
business transformation.

Appointment of Mr Thabo Leeuw to the Social and Ethics Compliance Committee

Mr Thabo Leeuw has been appointed as a member of the Social and Ethics and
Transformation Committee ("SETC").

Mr Leeuw's expertise in inclusive growth, stakeholder engagement and responsible
business will strengthen the Committee's oversight of social, ethics and transformation
matters.
The Board welcomes these committee appointments and believes that the additional
experience and expertise of these directors will further strengthen the oversight capacity of
the relevant committees.

BOARD CHANGE

Retirement of non-executive director, Audrey Mothupi-Palmstierna

The Board remains committed to the ongoing refreshment and renewal of both the Board
and its committees, in line with good governance practices and the long-term needs of the
Company.

In this regard, the Board confirms that Ms Audrey Mothupi-Palmstierna will retire as a non-
executive director of the Company and as Chair of the Remuneration Committee at the
conclusion of the Company's Annual General Meeting scheduled for August 2026. She will
be succeeded by Professor Haroon Bhorat, who has served as an independent non-
executive director since May 2020 and has made a significant contribution to the Board
during his tenure.
