RESIGNATION AND APPOINTMENT OF GROUP FINANCIAL DIRECTOR

In compliance with paragraph 6.71 of the JSE Listings Requirements, shareholders are advised
that Ms Nazlee Rajmohamed has tendered her resignation as Group Financial Director and
Executive Director of Invicta, effective 28 February 2027.

Nazlee joined Invicta in July 2018 as Group Chief Financial Officer, bringing over 24 years of
executive finance experience gained across the TOTAL Société Anonyme Group in South Africa,
Nigeria and France, and MTN Group Limited. During her eight years with the Group, she has
guided Invicta's financial reporting and strategic direction through a range of operating
conditions, including the Group's response to the Covid-19 pandemic, and has been
instrumental in strengthening the Group's financial position. The Board thanks her sincerely
for her valuable contribution and steady leadership and wishes her every success in her future
endeavours.

Following careful consideration, the Board is pleased to announce the appointment of Mr
Craig Barnard as Group Financial Director, effective 1 March 2027, in addition to his continuing
role as Commercial Director on the Board. Mr Barnard is a chartered accountant (CA(SA)) who
holds an MBA and an ACIS qualification and previously served as Invicta’s Financial Director
from 2007 to 2018. He brings deep institutional knowledge to the role. He has been with the
Group since 1998 and has served as an Executive Director of Invicta since 2007. Nazlee will
work closely with Craig ahead of her departure to ensure a smooth transition.

A fit and proper assessment, as contemplated in paragraph 6.73 of the JSE Listings
Requirements, was conducted on Mr Barnard's appointment and the Board is satisfied with
the outcome thereof. Invicta further confirms that there is nothing to report in respect of the
integrity information contained in Mr Barnard's director's declaration, in terms of paragraph
6.74 of the JSE Listings Requirements.
