Finalisation of results relating to the Extraordinary Resolution for
Portfolio Notes linked to the ABSA SPM Global Equity Portfolio 1 Portfolio

1.    Introduction

1.1   Noteholders are referred to the notice announced via SENS on 13 August
      2025 to all the outstanding Noteholders regarding consent to approve
      the proposed Final Terms and replace them with a further amended and
      restated Final Terms by passing the Written Resolution.

1.2   Noteholders' consent was requested by Written Resolution in terms of
      Condition 15.2 of the General Terms and Conditions of the Notes, whereby
      a majority (not less than 75%) of the outstanding number of issued Notes
      (excluding Notes held by the Issuer) is required to pass the
      Extraordinary Resolution.

1.3   As per the announcement via SENS dated 13 August 2025, voting closed on
      Wednesday 17 September 2025 at 12:00 midday. The amendments to the
      Applicable Pricing Supplement for Portfolio Notes linked to the ABSA
      SPM Global Equity Portfolio 1 Portfolio have been approved by
      Noteholders, based on the results shown below, and will take effect
      from Monday, 06 October 2025.
