APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR TO THE BOARD

In terms of paragraph 6.71 and 6.42 of the Listings Requirements and the Debt and
Specialist Securities Listings Requirements of the JSE Limited respectively,
shareholders are advised that the Board of Directors of Growthpoint has appointed Ms
Nooraya Khan to the Board as an Independent Non-executive Director, effective 1 April
2026, following the resignation of Prudence Lebina.

Ms Khan is a Chartered Accountant by profession and an experienced director. She will
serve as a member of the Audit, Risk Management and Social, Ethics and
Transformation Committees.

A fit and proper assessment was conducted in terms of qualifications, criminal record
and credit record and the Board is satisfied with the outcome in all areas. Growthpoint
further confirms that there are no positive statements to report in respect of the integrity
information contained in the director's declaration.

The abovementioned appointment was made in accordance with Growthpoint's policy
for the selection and appointment of directors to the Board.

Growthpoint welcomes Nooraya to the Board and looks forward to her contribution.
