DEALINGS IN SECURITIES

Pepkor Shareholders are referred to the SENS announcement published by the Company on 8
April 2025 ("April Announcement"), relating to the acquisition by Vista Treasury Proprietary
Limited ("Vista"), an associate company of PJ Erasmus, of 60,000,000 (sixty million) shares in
the issued securities of the Company ("Pledged Shares"), pursuant to Vista exercising its rights
under a security cession and pledge agreement ("Pledge Agreement") concluded with Ainsley
Holdings Proprietary Limited ("Ainsley").

As communicated in the April Announcement, Ainsley had instituted legal proceedings against
Vista in respect of the Pledged Shares ("Proceedings").

A settlement was reached in terms of the Proceedings between Ainsley and Vista on 1 August
2025 in terms of which Vista agreed to return the Pledged Shares to Ainsley.

Following the settlement, Vista acquired 60,000,000 (sixty million) shares from Ainsley, as
detailed in the table below.

In compliance with paragraphs 3.63 to 3.74 of the JSE Limited ("JSE") Listings Requirements
and paragraphs 6.45 to 6.56 of the JSE Debt and Specialist Securities Listings Requirements,
the following information regarding the acquisition of securities is disclosed:
