PASSING OF PROSUS INDEPENDENT NON-EXECUTIVE DIRECTOR

It is with great sadness that Prosus announces the passing of Steve Pacak, an independent non-
executive director and chair of our audit and risk committees. Our sympathy and condolences
go to his wife Sheila, his children Stephanie and Gerard, and their families.

Steve began his career with Naspers at M-Net in 1988 and has held various executive positions
within the group. He became an executive director of Naspers in 1998, serving as the group's
financial director until his retirement from that position in 2014. He remained on the board as a
non-executive director of Naspers, and an independent non-executive director of Prosus since
August 2019, continuing to lend his experience to the boards and its committees.

Koos Bekker, chair of Prosus, said: "Over almost four decades Steve was a key mover in the
development of our Naspers and Prosus group. His financial and business acumen, deep
knowledge of our business and work ethic were invaluable. Beyond professional achievements,
Steve was one of the most honest and decent human beings I ever met. He will be missed."
