DISTRIBUTION OF CIRCULAR TO SHAREHOLDERS AND NOTICE OF GENERAL MEETING
1. INTRODUCTION
Shareholders are referred to the detailed terms announcement ("Terms Announcement") released by the
Company on the Stock Exchange News Service ("SENS") on Monday, 29 December 2025 wherein they were
advised of the Group's proposed divestment of its entire shareholding in Aspen APAC (excluding China).
Capitalised terms not defined in this announcement have the meaning given to such terms in the Terms
Announcement.
2. DISTRIBUTION OF CIRCULAR
Shareholders are advised that Aspen has today, Thursday, 19 March 2026, distributed a circular to Shareholders
incorporating a Notice of General Meeting and setting out complete details of the Transaction (the "Circular").
The Circular is also available on the Company's website, at https://www.aspenpharma.com/.

3. NOTICE OF GENERAL MEETING
Notice is hereby given that a General Meeting of Shareholders will be held through electronic communication,
as permitted by the JSE Limited, the provisions of the Companies Act and the Company's Memorandum of
Incorporation, on Tuesday, 21 April 2026, at 10:00 SA time, for the purpose of considering and, if deemed fit,
passing the ordinary resolution required to be approved by Shareholders in order to authorise and implement
the Transaction. Aspen has retained the services of The Meeting Specialist to host the General Meeting on an
interactive electronic platform, in order to facilitate electronic communication and voting by Shareholders.
4. SALIENT DATES AND TIMES
The important dates and times applicable to the Transaction are set out below:

Notice record date, being the date on which a Shareholder must be recorded in Friday, 13 March
the Register in order to be eligible to receive the Notice of General Meeting
Circular incorporating the Notice of General Meeting and Form of Proxy, Thursday, 19 March
distributed to Shareholders on
Announcement of distribution of Circular and notice convening the General Thursday, 19 March
Meeting released on SENS on
Last day to trade Shares in order to be recorded in the Register in order to be Tuesday, 7 April
eligible to attend and participate in the General Meeting and to vote thereat, (see
note 2 below)
General Meeting record date, being the date on which a Shareholder must be Friday, 10 April
recorded in the Register in order to be eligible to attend and participate in the
General Meeting and to vote thereat
For administrative purposes, Forms of Proxy in respect of the General Meeting to Friday, 17 April
be received by The Meeting Specialist by no later than 10:00 SA time, provided
that any Forms of Proxy not delivered to The Meeting Specialist by this time may
be provided to The Meeting Specialist electronically (who will provide same to the
Chairperson) at any time before the proxy exercises any rights of the Shareholder
on

Notes:
1. The above dates and times are subject to amendment at the discretion of Aspen, with the approval of the
JSE. Any such amendment will be released on SENS and published in the South African press.
2. Shareholders should note that as transactions in Shares are settled in the electronic settlement system
used by Strate, settlement of trades take place three Business Days after such trade. Therefore,
Shareholders who acquire Shares after close of trade on Tuesday, 7 April 2026 being the last day to trade,
will not be eligible to attend, participate in and vote at the General Meeting.
3. Dematerialised Shareholders, other than those with Own-name Registration, must provide their CSDP or
Broker with their instructions for voting at the General Meeting by the cut-off time and date stipulated by
their CSDP or Broker in terms of their respective Custody Agreements between them and their CSDP or
Broker.
4. If the General Meeting is adjourned or postponed, the above dates and times will change, but Forms of
Proxy submitted for the initial General Meeting will remain valid in respect of any such adjournment or
postponement of the General Meeting.
5. Although the salient dates and times are stated to be subject to change, such statement may not be
regarded as consent or dispensation for any change to time periods which may be required in terms of the
Listings Requirements, where applicable, and any such consents or dispensations must be specifically
applied for and granted.
6. All dates and times indicated above are South African Standard Time.
7. No dematerialisation or rematerialisation of Shares by Shareholders may take place from the business day
following the last day to trade Shares in order to be recorded in the Register to vote at the General
Meeting, being Wednesday, 8 April 2026 up to and including the General Meeting record date, being
Friday, 10 April 2026.
