CHANGES TO THE BOARD COMMITTEES


In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the board of directors
of MTU ("the Board") is pleased to notify its shareholders of the following Board Committee changes,
with effect from 23 May 2025:

•   Warren Geyer has resigned as Chairman of the Social and Ethics Committee ("SEC") but will remain
    on the SEC.
•   Jonas Tshikundamalema has resigned as the Chairman of the Combined Remuneration and
    Nomination Committee ("CRNC") but will remain on the CRNC.
•   Warren Geyer will replace Jonas Tshikundamalema as the Chairman of the CRNC.
•   Jonas Tshikundamalema will replace Warren Geyer as the Chairman of the SEC.
•   The Combined Audit and Risk Committee ("CARC") remains unchanged.


The Board believes that changes will strengthen the functioning of the committees and further enhance
the governance of the Company. The new committee compositions will be as follows:

CARC: Vincent Madlela (Chairman), Warren Geyer, Jonas Tshikundamalema.

SEC: Jonas Tshikundamalema (Chairman), Vincent Madlela, Warren Geyer.

CRNC: Warren Geyer (Chairman), Jonas Tshikundamalema, Vincent Madlela.
