CATEGORY 2 ACQUISITION OF MAYNARD MALL, WYNBERG – COMPETITION COMMISSION
APPROVAL

Shareholders are referred to the announcement published on SENS on 28 July 2025 ("Announcement"),
regarding the acquisition by Spear of the properties known as Remainder Erf 67925, Remainder Erf 67947,
Erf 67948, Remainder Erf 67949, Remainder Erf 67957, Remainder Erf 67959, Remainder Erf 67960,
Remainder Erf 67958, Erf 92087 and Remainder Erf 92089, in the City of Cape Town, with all improvements
thereon ("Property"), and the rental enterprise known as the "Maynard Mall" conducted by the Seller on the
Property, as a going concern ("Acquisition"),

As stated in the Announcement, the Acquisition was subject to certain conditions precedent, including the
approval of the applicable competition authorities in terms of the Competition Act. Shareholders are advised
that on 2 September 2025, the Competition Commission unconditionally approved the Acquisition.

Shareholders should note that the Acquisition remains subject to the remaining condition precedent set out in
the Announcement and, following the fulfilment thereof, will become effective on the date of registration of
transfer of the Property, which is anticipated to be during the month of January 2026.
