DISTRIBUTION OF THE NOTICE OF ANNUAL GENERAL MEETING AND AVAILABILITY OF THE INTEGRATED ANNUAL REPORT

1.     NOTICE OF ANNUAL GENERAL MEETING

       Notice is hereby given that the 39th annual general meeting ("AGM") of Merafe shareholders
       ("Shareholders") will be held at 11:00 on Wednesday, 13 May 2026, entirely through electronic means,
       as more fully set out in the notice of AGM ("Notice"). The Notice, accompanied by the Company's
       summarised consolidated financial statements for the year ended 31 December 2025, was distributed to
       Shareholders today, 7 April 2026.

       * For administrative purposes only. If forms of proxy are not received by this date, they must be submitted to
         Chairperson of the AGM electronically before the appointed proxy exercises any of the relevant shareholder
         rights at the AGM.

 2.    AVAILABILITY OF THE INTEGRATED ANNUAL REPORT

       Further to the publication of the Company's audited consolidated and separate annual financial
       statements for the year ended 31 December 2025 on the Stock Exchange News Service of the JSE
       Limited ("JSE") on Monday, 9 March 2026, available through the JSE cloudlink and on the Company's
       website at: https://www.meraferesources.co.za/results/annuals-2025/pdf/afs.pdf, Shareholders are
       advised that the Company's 2025 integrated annual report containing, inter alia, the additional information
       required in terms of paragraph 11.38 of the JSE Listings Requirements, is available on the Company's
       website at: https://www.meraferesources.co.za/reports/ir-2025/index.php.
