VOLUNTARY ANNOUNCEMENT - CLAIM BY CICL LIQUIDATORS


Shareholders are advised that Conduit Capital has received legal process issued out of the Western Cape High
Court by the joint liquidators of Constantia Insurance Company Limited (in liquidation), a former subsidiary ("the
Litigation").

The Litigation concerns certain advances of R37,4 million allegedly made between the Company and CICL.

The Company has instructed its lawyers to defend the Litigation. The board of directors ("the Board") considers
the action immaterial at this stage, with no impact on operations. Shares remain suspended, and engagements
with the JSE are ongoing.

The Board has determined that the information is not price sensitive or material at this stage. This determination
is based on both a qualitative and quantitative evaluation of the specificity, accuracy, and materiality of the
potential impact of the action, together with the assessed likelihood of its success.

This announcement is made voluntarily in the interest of transparency. The Board will update shareholders on
any material developments by way of further announcements.
