CHANGES TO THE BOARD OF DIRECTORS OF AFRICAN BANK LIMITED (“ABL”) AND
AFRICAN BANK HOLDINGS LIMITED (“ABHL”)

In accordance with paragraph 6.42 of the JSE Limited Debt and Specialist Securities Listings
Requirements, noteholders and stakeholders are hereby advised that Mr Anbann Chetti
(Anbann) has resigned effective 11 September 2026 as the Group’s Chief Financial Officer
(“Group CFO”) and as an executive director of African Bank Limited, (ABL), African All Cover
Limited and African Bank Holdings Limited (“ABHL”) Boards of Directors (collectively the
“Boards”), to pursue other opportunities. Consequentially, Anbann resigns his memberships
of the Assets and Liabilities Committee, Special Projects and Large Exposures Committee,
and the Model Risk, Capital and Funding Crisis Committee, Capital Raising Committee and
Macro-Economic sub-committees of the Boards.

The Boards have appointed, subject to obtaining the requisite regulatory approvals,
Mr Given Bhutana Mabena (Given) as Acting Group CFO, to coordinate and oversee the
finance function until a permanent successor is appointed.

Given is a strategic finance and business executive with more than 13 years' experience
leading financial transformation, strategy and governance across the banking and
multinational sectors. He is a Chartered Accountant (SA) and holds an MBA from the
University of Witwatersrand, complemented by executive education at IMD Switzerland and
London Business School.

Given brings a robust set of technical financial and governance competencies, anchored by
his Chartered Accountant (SA) qualification and eight years of audit and assurance
experience at Deloitte. He is technically proficient in financial reporting and accounting
under IFRS, consolidation, taxation, and financial planning, management and analysis. He
has extensive command of internal control and governance frameworks, together with risk
and compliance management across the full credit lifecycle encompassing credit risk,
affordability and risk-adjusted pricing, portfolio performance management, collections and
recoveries. His technical expertise further extends to capital and financial resource
management for return on equity optimisation, business performance and profitability
management, transfer pricing, and regulatory reporting to the South African Reserve Bank,
as well as data and analytics-led decisioning through credit models, propensity modelling
and pricing optimisation.
This is complemented by domain expertise across retail and transactional banking,
unsecured lending, card operations, schemes and payments and settlements value chains.
