RESIGNATION OF DIRECTOR AND UPDATE ON LIQUIDATION PROCEEDINGS
In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, shareholders are advised
that Mr Daniel Grobler has resigned as a director of Murray & Roberts Holdings, with effect from 11
November 2025.
Mr Grobler's resignation follows the Stock Exchange News Service ("SENS") announcement dated 28
October 2025, advising shareholders that the Gauteng Division of the High Court of South Africa had
granted a final order for the liquidation of Murray & Roberts Holdings on 27 October 2025.
The Company would like to thank Mr Grobler for his service under exceptionally challenging
circumstances and wishes him well in his future endeavors.
As stated in the SENS announcement of 28 October 2025, Mr Theo van den Heever has been appointed
as the provisional liquidator of Murray & Roberts Holdings.
Shareholders are reminded that the final winding up order pertains solely to Murray & Roberts Holdings,
the listed entity, and does not impact its downstream subsidiary Murray & Roberts Limited, which is a
separate legal entity currently under business rescue. The business rescue proceedings in respect of
Murray & Roberts Limited remain ongoing.
The suspension of trading in the Company's shares, which took effect on 22 November 2024 in terms of
paragraph 1.10 of the JSE Listing Requirements, remains in place. Shareholders will be advised in due
course of the proposed delisting of the Company pursuant to the final winding up order.
