TRANSACTION CAPITAL LIMITED'S UNBUNDLING OF WEBUYCARS
In compliance with the JSE Limited ("JSE") Listings Requirements, the following information is disclosed:
Shareholders of WeBuyCars ("Shareholders") are referred to the announcement published on the Stock
Exchange News Service ("SENS") of the JSE, on 13 February 2024 by Transaction Capital Limited ("TC")
regarding, inter alia, the pro rata distribution in specie of TC's shareholding in WeBuyCars to TC shareholders
(the "Unbundling"). Certain directors of WeBuyCars and its major subsidiaries hold TC shares and,
accordingly, upon implementation of the Unbundling on 16 April 2024, received shares in WeBuyCars ("WBC
Shares") in the same ratio and on the same basis applicable to all TC shareholders. Applicable details
regarding the directors in question and the WBC Shares unbundled to them, appear below.
