EXTENSION OF THE POSTING OF THE TAMBANKULU DISPOSAL CIRCULAR
Shareholders of THL ("THL Shareholders") are referred to the terms announcement dated 17 June 2020
(the “Terms Announcement”), where THL advised THL Shareholders that it had entered into a share
purchase agreement with Eswatini’s Public Service Pensions Fund (the “Purchaser”), whereby THL,
together with its wholly owned subsidiary, Format Development Corporation Limited will dispose of their
shares and shareholder claims in Tambankulu Estates Proprietary Limited to the Purchaser (the
“Transaction”).
THL Shareholders were also advised that a circular setting out the full details of the Transaction (the
“Circular”) is in the course of preparation and will be distributed to THL Shareholders within 60 business
days of the Terms Announcement.
THL Shareholders are now advised that, as a result of the impact of the Covid-19 pandemic and the
practicalities surrounding the financial reports required for the Circular, the JSE Limited has granted THL a
two month extension to the 60-day rule contained in paragraph 9.20(b) of the JSE Listings Requirements
for the posting date of the Circular.
THL anticipates that the Circular, incorporating a notice convening a General Meeting of THL Shareholders
at which THL Shareholders will be requested to vote on the relevant resolutions, will be distributed to THL
Shareholders by no later than 14 October 2020. THL will of course endeavour to distribute the Circular as
soon as reasonably possible.
