    NOTICE TO SHAREHOLDERS REGARDING APPROVAL IN ZIMBABWE BY THE
                   COMPETITION & TARIFF COMMISSION


Shareholders are referred to the Stock Exchange News Service ("SENS") announcements
released on 17 December 2024, 23 December 2024, 20 January 2025 and 11 February 2025
wherein the sale of all assets (as a going concern) owned by the Company to the Vision Parties
has been disclosed, ("the Alternative Transaction"). Unless otherwise defined herein, all
capitalised terms shall bear the same meanings as those contained in the aforementioned
SENS announcements.

Shareholders are further advised that the Competition & Tariff Commission of Zimbabwe has
provided approval for the Alternative Transaction subject to certain employment-related
conditions. These conditions have been duly accepted, rendering the approval effective. This
marks the final competition authority approval required across all applicable jurisdictions for
the implementation of the Alternative Transaction.

The Company and the Vision Parties, together with the Business Rescue Practitioners,
welcome this development as it represents a further significant milestone in the
implementation of the Adopted Plan.
