UPDATE ON COMMITMENT AGREEMENT

Shareholders are referred to the SENS announcement issued by Transaction Capital on 17 December 2024
in which shareholders were advised of the finalisation of the Road Cover Disposal and the signature of the
Commitment Agreement, which remained subject to the fulfilment of certain suspensive conditions.

Transaction Capital advises shareholders that the Commitment Agreement has become unconditional in
accordance with its terms.
