Report and details of the Annual General Meeting
1. Highlights
• Revenue of R1.067 billion (2024: R946.0 million), up 12.8%.
• Profit after tax of R383.2 million (2024: R347.2 million), up 10.4%.
• Assets under management and administration of R461.2 billion as at 30 September 2025 (2024: R350.1 billion), up 31.7%.
• Total dividend per share of 231 cents (2024: 217 cents), up 6.5%.
• Basic earnings and headline earnings per share of 248.5 cents (2024: 229.1 cents), up 8.5% (earnings adjusted for unvested ordinary
shares issued through the Sygnia Share Option Scheme B), and diluted earnings and diluted headline earnings per share of 246.2 cents
(2024: 225.4 cents), up 9.2%.
2. Final dividend
Sygnia is committed to rewarding its shareholders with regular distributions of free cash flow generated. Accounting for projected cash
requirements, a gross final dividend for the financial year ended 30 September 2025 of 133 cents per share has been declared out of
income reserves, resulting in a net dividend of 106.4 cents per share for shareholders after Dividends Tax ("DT"). Together with the interim
gross dividend of 98.0 cents per share, this amounts to a total gross dividend of 231.0 cents per share.

Share certificates may not be dematerialised or rematerialised between Tuesday, 30 December 2025 and Friday, 2 January 2026, both
dates inclusive. Dividends declared after 31 March 2012 are subject to DT, where applicable. In terms of the DT, the following additional
information is disclosed:
• The local DT rate is 20%;
• The number of ordinary shares in issue at the date of this declaration is 156 043 196;
• Sygnia's tax reference number is 9334/221/16/6.
3. Short form announcement
The short form announcement is the responsibility of the directors and is only a summary of the information contained in the consolidated
annual financial statements. This announcement does not include the information required pursuant to paragraph 16A(j) of IAS 34. Any
investment decisions by investors and/or shareholders should be based on consideration of the consolidated annual financial statements
on the Company's website (www.sygnia.co.za). Copies of the consolidated annual financial statements are available on request by emailing
investorrelations@sygnia.co.za and at the Company's JSE sponsor. In addition, the consolidated annual financial statements are available
for inspection, at no cost, at the registered office of the Company from Monday to Friday between 08:00 and 17:00. The consolidated

4. Audit opinion
The auditors, Forvis Mazars, have issued an unmodified audit opinion on the consolidated annual financial statements for the year ended
30 September 2025, which includes communication of key audit matters. As set out above, copies of the consolidated annual financial
statements (including the key audit matters and the unmodified audit opinion) are available on request by emailing
investorrelations@sygnia.co.za and at the Company's sponsor at jsesponsor@standardbank.co.za.
5. 2025 Integrated Report
Sygnia shareholders are advised that the 2025 Integrated Report of the Company, together with the full consolidated annual financial
statements for the year ended 30 September 2025, will be distributed to shareholders on 8 December 2025. The Integrated Report will be
available on the Company's website, www.sygnia.co.za. Shareholders can contact the Company secretary, Robyn Holwill, at
rholwill@sygnia.co.za to request an electronic version of the 2025 Integrated Report, which incorporates the notice of the annual general
meeting and form of proxy. The consolidated annual financial statements for the year ended 30 September 2025 have been prepared
under the supervision of the Financial Director, RA Ismail CA (SA).
6. Annual general meeting
The annual general meeting of shareholders of Sygnia will be held on Monday, 26 January 2026 at 10:00am to transact the business as
stated in the notice of the annual general meeting which is included in the 2025 Integrated Report. In terms of section 59 of the Companies
Act, No. 71 of 2008, the record date for the purposes of determining which shareholders are entitled to participate in and vote at the
annual general meeting is Friday, 16 January 2026.
