In accordance with paragraph 3.59 of the JSE Listings Requirements, the board of directors of the
Company ("Board") wishes to advise that Ms Joan Solms ("Joan") has been appointed as an
independent non-executive director and member of the audit and risk committee of Spear, with effect
from 01 April 2025.
Joan is a chartered accountant with over 20 years' experience in property and investment banking.
She served as an executive vice president of Standard Bank's Corporate and Investment Banking
division, heading up the Western Cape Real Estate Finance division, until November 2024. Prior to
that, Joan was appointed as an executive director and chief operating officer of Ingenuity Property

her extensive expertise and experience in the Western Cape property market, Joan will be a valuable
