DISCLOSURE OF DISPOSAL OF SECURITIES

Shareholders are advised that on 22 July 2025 Ainsley Holdings Proprietary Limited and
SAHPL Proprietary Limited, both indirect subsidiaries of Ibex Topco B.V. ("Ibex" and together
with its subsidiaries the "Ibex Group"), notified Pepkor that the Ibex Group has reduced its
beneficial interest in the issued ordinary share capital of the Company from 28.48% to 0.19%
of the Company's issued ordinary share capital.

The Company has filed the required notice with the Takeover Regulation Panel, per
section 122(3)(a) of the Companies Act, 2008.

The board of directors accepts responsibility for the information contained in this
