The founders of Nutun Limited ("Nutun") (formerly named Transaction Capital Limited) are Jonathan
Michael Jawno, Michael Paul Mendelowitz and Roberto Rossi ("the founders").

Upperway Investments Proprietary Limited ("Upperway") has sold its 1.5 million Nutun shares to Pilatucom
Holdings Limited ("Pilatucom"). Both Upperway and Pilatucom are owned by family trusts of the founders
in equal shares so there is no change in beneficial interests.

In compliance with paragraphs 3.63 and 3.65 of the JSE Limited Listings Requirements the following
information is disclosed.
