APPOINTMENT OF AN INDEPENDENT NON-EXECUTIVE DIRECTOR AND CHANGES TO THE AUDIT AND RISK COMMITTEE

In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, the board of directors of Northam Holdings
("Board") is pleased to announce the appointment of Mr Wouter André Hanekom as an independent non-executive
director of Northam and as a member of the group's audit and risk committee, with effect from 1 December 2024.

Mr Hanekom is a qualified Chartered Accountant (SA) and currently serves as an independent non-executive director
of Sea Harvest Group Limited and as the non-executive chairman of Quantum Foods Holdings Limited.

Mr Hanekom is an experienced executive. Having commenced his post-articles career with Bokomo Breakfast Cereals
("Bokomo") in 1988, he held various senior positions such as Financial Manager, Operational Executive and
Chief Executive Officer. He was instrumental in the merger between Bokomo and Sasko Proprietary Limited which
resulted in the formation of Pioneer Foods Group Limited ("Pioneer Group"). Mr Hanekom was Pioneer Group's
Chief Executive Officer between 1999 and 2013, during which time the Pioneer Group listed on the JSE.

Mr Mcebisi Jonas will step down as a member of the audit and risk committee immediately following the appointment of
Mr Hanekom.

Mr Mcebisi Jonas, the independent non-executive chairperson of the Board, commented, "Northam is pleased to
welcome Mr Hanekom to the Board. He brings extensive experience and expertise to Northam, in particular from a
financial, logistical and human resources perspective, which will further strengthen the group. We look forward to his
contribution."
