Enforcement of censure imposed by the JSE on Mantengu Limited (“Mantengu” or “Company”)


The JSE hereby informs stakeholders of the following findings in respect of Mantengu:


1.     Stakeholders are referred to the SENS announcement dated 6 March 2026 wherein the JSE imposed a
       public censure against Mantengu.


2.     In brief, and pursuant to its investigation, the JSE decided to impose a public censure on Mantengu
       following its finding that Mantengu failed to publish a cautionary announcement immediately when it
       became aware, on or about 14 June 2023, that the confidentiality of the price sensitive information
       relating to the binding offer dated 16 May 2023 to acquire 100% of the shares in a subsidiary of a blue-
       chip mining company had been breached.


3.     Mantengu disagreed with the JSE’s decision, and on 2 April 2026, Mantengu applied, in terms of section
       230(1) of the Financial Sector Regulation Act ("FSRA"), to the Financial Services Tribunal ("FST") for the
       reconsideration of the JSE’s decision (the “Reconsideration Application”). Mantengu also applied for an
       order suspending the decision of the JSE in terms of section 231 of the FSRA. On 20 May 2026, the FST
       dismissed the suspension application.


4.     The Reconsideration Application was heard on 4 September 2026. On 21 September 2026, the FST
       dismissed the Reconsideration Application, affirming the validity and enforceability of the public censure
       imposed on Mantengu by the JSE on 6 March 2026.


5.     In the circumstances, the JSE's decision to impose a public censure on Mantengu for contraventions of
       the Listings Requirements remain binding and fully enforceable.
