RENEWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the previous cautionary announcements, the last of which was dated
23 October 2025, in relation to the binding term sheet to acquire an indirect controlling stake of Kilken
Platinum Proprietary Limited ("Kilken") through the acquisition of 100% of the issued share capital of,
and claims in, New Salt Rock City Proprietary Limited ("NSRC") and are advised that the due
diligence is ongoing, the purchase consideration has still not been determined and any associated
regulatory requirements, as well as a number of conditions precedent are yet to be completed.
The Board wishes to highlight that there is a disagreement and court proceedings underway
regarding the percentage held by NSRC in Kilken, which is a material disagreement between the
parties and lies at the core of the acquisition agreement. This is a key element of the ongoing due
diligence.
The full impact of the above is still to be determined, which may have a material effect on the price
of the Company's securities. Accordingly, shareholders are advised to continue to exercise caution
when dealing in their securities until a further announcement is made.
