APPOINTMENT OF JOINT AUDITORS

Shareholders and noteholders are advised that, in view of the Prudential
Authority of the South African Reserve Bank's ("Prudential Authority")
consideration to issue joint audit requirements for insurers and
insurance groups, the Group intends to appoint PricewaterhouseCoopers
Inc.("PwC") as joint auditors with the existing Group auditors, Ernst &
Young Inc. ("EY").

PwC's appointment is intended to be effective from 1 July 2024, i.e. for
the Group's financial year ending 30 June 2025, subject to the approval
of the Prudential Authority. A further announcement regarding the
appointment of PwC and lead audit partner will be made on SENS once the
Prudential Authority approval has been obtained.

In terms of section 90(1) of the Companies Act No. 71 of 2008, as amended,
as well as paragraph 3.86 of the JSE Limited ("JSE") Listings
Requirements and paragraph 7.3(e)(iv) of the JSE Debt Listings
Requirements, the appointment of PwC will be tabled as a resolution to
the MMH and MML ordinary shareholders at the appropriate annual general
meetings in 2024.
