ANNOUNCEMENT AND WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
Introduction
Shareholders are referred to the declaration announcement released on SENS on 11 November 2025 ("Declaration
Announcement") regarding the concurrent Claw-back Offer, Rights Offer and Debt Restructuring Rights Offer.
The capitalised terms used but not defined in this announcement shall bear the same meaning given to such terms in the
Declaration Announcement.
Fairness opinions
With regard to the Debt Conversion by related parties which are classified as small, related party transactions in terms
of the JSE Listings Requirements, as detailed in the Initial Announcement, fairness opinions have been obtained from an
independent expert confirming that such related party conversions are fair to shareholders who are not related parties.
These fairness opinions will be available for inspection at the registered office of the Company during the period
specified in the Circular and will be available on the Company's website.
Circular
The JSE's formal approval of the Circular is imminent and the Circular will be published on the Company's website at
www.copper360.co.za on Monday, 17 November 2025. The important dates and times in respect of the Claw-back
Offer and Rights Offer remain unchanged from those published in the Declaration Announcement.
Withdrawal of cautionary announcement
Shareholders are referred to the cautionary announcement, which was first published on 29 July 2025, the last renewal
of which was published on 20 October 2025, and are advised that, following the publication of this announcement,
shareholders are no longer required to exercise caution when dealing in Copper 360's securities.
