NOTICE IN TERMS OF SECTION 45(5) OF THE SOUTH AFRICAN COMPANIES ACT

Notice is hereby given in terms of section 45(5) of the South African Companies Act,
No. 71 of 2008, as amended ("Companies Act"), that the board of directors of the Company
(the "Board") has resolved to subordinate certain shareholder loan claims that it has against
its subsidiary, Wutow Trading Proprietary Limited, in favour of Standard Bank Namibia Limited,
and in doing so provide intergroup financial assistance as contemplated in section 45 of the
Companies Act. This financial assistance is provided pursuant to the authority granted to the
Board by the shareholders at the annual general meeting of the Company held on
4 June 2024.

In accordance with section 45 of the Companies Act, the Board is satisfied that immediately
after providing such financial assistance, the Company will satisfy the solvency and liquidity
test provided for in section 4 of the Companies Act and that the terms of the financial
assistance are fair and reasonable to the Company.
