RESULTS OF THE OFFER

Shareholders are referred to the circular distributed by the Company ("Circular") and the announcements
published on SENS on Monday, 27 October 2025, Monday, 17 November 2025 and Wednesday, 17 December
2025, pertaining to the Offer and Proposed Delisting. Unless otherwise defined herein, capitalised words and
terms contained in this announcement shall bear the same meanings ascribed thereto in the Circular.

Shareholders are advised that Offer acceptances in respect of 22 604 934 Offer Shares (being 36.42% of the
Offer Shares), in aggregate, were received. Accordingly, as Shareholders have been advised previously based on
the Irrevocable Undertakings received, the Maximum Acceptances Condition has been fulfilled, and the Offer
and Proposed Delisting will be implemented in accordance with the dates and times set out below.

Notes:

 1. Astoria has made application to the JSE for the suspension and termination of listing on the JSE of all Astoria Shares.
 2. Certificated Shareholders who accepted the Offer will have the Offer Consideration transferred to them by electronic funds transfer
    into the bank account nominated by them in the form of acceptance, surrender and transfer (incorporated into the Circular) on the
    Offer Payment Date.
 3. Dematerialised Shareholders who accepted the Offer will have their accounts at their CSDP or Broker credited with the Offer
    Consideration on the Offer Payment Date.

Astoria has primary listings on the SEM and the Alternative Exchange of the JSE.

This announcement is issued pursuant to SEM Listing Rules 11.3 and Rule 5(1) of the Securities (Disclosure
Obligations of Reporting Issuers) Rules 2007. The Board of directors of Astoria accepts full responsibility for the
