NOTIFICATION IN TERMS OF SECTION 45(5)(a) OF THE COMPANIES ACT, 2008
Notice is hereby given that, in terms of the provisions of section 45(5)(a) of the Companies Act 71 of 2008 as amended
from time to time (the "Companies Act") and pursuant to the special resolution passed at the annual general meeting
of the Company held on 16 November 2023 authorising the board of directors (the "board") to provide financial
assistance to its subsidiaries and associates, the board has adopted resolutions as contemplated in section 45(2) of the
Companies Act.
The said resolutions adopted by the board relate to financial assistance which includes inter alia, guarantees, inter-
company loans and letters of support given by Attacq in respect of the obligations of subsidiaries and associates of
Attacq, the total value of which, together with any previous resolutions to provide financial assistance during the
current financial year, exceeds one-tenth of 1% of Attacq's net worth as set out in section 45(5)(a) of the Companies
Act.
