NOTIFICATION RE CHANGE OF EXTERNAL AUDITOR
In compliance with paragraphs 3.75 and 6.25 of the JSE Limited's ("JSE") Listings and Debt
Listings Requirements respectively (and following a review process that was conducted by the
Company's Audit Committee in order to identify eligible audit firms with the objective to strengthen
overall governance), the Board and the Audit Committee of Santam wish to remind shareholders
and noteholders that the Audit Committee made a recommendation to the Company's
shareholders at its previous annual general meeting ("AGM") held on 31 May 2023, to appoint
KPMG Inc. ("KPMG") as a replacement to PricewaterhouseCoopers Inc. ("PwC") with effect from
the Group's 2024 financial year.
Shareholders and noteholders are further reminded that the reason for the Audit Committee
seeking shareholders' approval timeously during 2023, was to allow KPMG to commence with
the transitioning process in preparation for the Company's audit for the year ended 31 December
2024. To this end, it is to be noted that Mr Mark Danckwerts is the individual and designated
independent auditor who will undertake the Company's audit for the year ended 31 December
2024.
Noteworthy to highlight, is that the audit services of the Company's rotating external auditor
("PwC"), will therefore terminate upon the completion of their statutory commitments that are
relevant to the Company's 2023 financial year, which is expected to be on or about 29 February
2024.
In view of the Companies Act and the JSE Listings and Debt Listings Requirements, the Company
will afford shareholders with another opportunity to approve KPMG's appointment as Santam's
new external auditor for the year ended 31 December 2024 at its imminent AGM that will be held
on 29 May 2024.
