NO CHANGE STATEMENT, AVAILABILITY OF INTEGRATED REPORT, NOTICE OF ANNUAL GENERAL
MEETING AND AVAILABILITY OF B-BBEE ANNUAL COMPLIANCE REPORT
1. Introduction
Shareholders are advised that the Company’s integrated report, incorporating
the audited consolidated annual financial statements for the year ended 31
August 2021, (on which the Company’s auditors expressed an unmodified audit
opinion) and the notice of the annual general meeting (“AGM”) of the Company
has been distributed to shareholders today 22 December 2021.
The integrated report, audited consolidated annual financial statements and
notice of AGM are also available on the Company’s website at
https://premierfishing.co.za/integrated-reports/ and contains no changes from
the reviewed provisional results for the year ended 31 August 2021 which were
released on SENS on 26 November 2021.
2. Notice of Annual General Meeting
The AGM will be held through electronic participation only at 14:00 on
Wednesday, 23 February 2022. Due to the continued impact of the COVID-19
pandemic and the uncertainty surrounding the restrictions placed on public
gatherings and/or the COVID-19 level that may be applicable when the Company’s
AGM is to take place, the Company has determined it prudent and appropriate to
make the AGM accessible only through electronic participation, as provided for
in terms of the provisions of the Companies Act, (Act 71 of 2008) as amended
(“Companies Act”).
Proxy forms should be lodged with the transfer secretaries of the Company, Link
Market Services (Pty) Ltd, 13th Floor, 19 Ameshoff Street, Braamfontein, 2001,
or posted to the Transfer Secretaries at PO Box 4844, Johannesburg, 2000, South
Africa, to be received by them not later than 14h00 on Monday, 21 February 2022
provided that any form of proxy not delivered to the transfer secretary by this
time may be handed to the chairman of the AGM prior to the commencement of the
AGM, at any time before the appointed proxy exercises any shareholder rights at
the AGM.
Any shareholders or their proxies who wish to participate in the AGM via
electronic communication (“Participants”) should complete the Electronic
Participation Form (“the Application”) and should email same to the Company’s
transfer secretaries, Link Market Services at meetfax@linkmarketservices.co.za
as soon as possible but no later than 14:00 on Friday, 11 February 2022.
Upon receipt of a duly completed Application, the Company’s transfer secretaries
will follow a verification process to verify each Participant’s entitlement to
participate and/or vote at the AGM. On successful verification, such shareholder
or their duly appointed proxy will receive on their nominated email a Microsoft
Teams meeting invitation, which will be required to access the AGM.
